Terms of Service

The following definitions apply throughout these Terms of Service:

• "Service" refers to the EngineSEO platform, including all features, APIs, and integrations provided through our web application and associated services
• "User" refers to any individual who creates an account and uses the Service
• "Workspace" refers to a multi-tenant organizational unit that isolates your data and team members from other users of the Service
• "Credits" refers to units of usage consumed when performing operations such as article generation, keyword retrieval, and content publishing
• "Content" refers to any text, data, keywords, articles, or other materials generated, uploaded, or processed through the Service
• "API Keys" refers to third-party service credentials (OpenAI, SerpAPI, etc.) stored encrypted in your account

EngineSEO provides the following services:

• AI Content Generation: Automated creation of SEO-optimized articles using AI models based on "People Also Ask" (PAA) questions, product data, and keyword research
• Shopify Integration: Direct publishing of generated content to your Shopify store's blog
• SEO Optimization: Automatic sitemap updates, meta tags, and LLM discovery files (ai.txt, llms.txt)
• Keyword Management: Organization and processing of keywords into projects for campaign tracking
• Multi-tenant Workspace: Team collaboration with role-based access control
• API Integrations: SerpAPI for PAA data retrieval, OpenAI for content generation, and Google Ads for keyword research
• Content Distribution: Pull-based sync API for distributing articles to external platforms

To use our service, you must:

• Be at least 18 years old or have parental consent
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Be responsible for all activities under your account

You may not create multiple accounts to circumvent usage limits or share account credentials with unauthorized users. Each workspace member must have their own individual account.

EngineSEO uses a credit-based system to meter usage of resource-intensive operations:

• Operations consume credits based on complexity, including article generation, keyword retrieval, PAA queries, and Shopify publishing
• Credits are allocated monthly based on your subscription plan and reset at the start of each billing cycle
• Unused credits do not roll over to the next billing period
• Credits are non-transferable between workspaces and non-refundable
• Credit consumption rates may be adjusted with 30 days' notice to reflect changes in underlying service costs

You can monitor your credit balance and usage history through your account dashboard. When your credits are depleted, credit-consuming operations will be unavailable until your credits reset or you upgrade your plan.

Please read this section carefully. AI-generated content carries inherent limitations and risks:

• AI-generated content is produced using third-party AI models (currently OpenAI GPT-4) and is provided "as-is" without any warranty of accuracy, originality, or fitness for a particular purpose
• We do not guarantee the accuracy, originality, completeness, or legal compliance of AI-generated content
• You are solely responsible for reviewing, editing, and fact-checking all generated content before publication
• AI-generated content may not be unique -- similar content may be generated for other users based on similar inputs
• You assume all liability for content published to your store, including potential intellectual property claims, defamation claims, or regulatory violations
• We recommend consulting legal counsel for content used in regulated industries (healthcare, finance, legal, etc.)

EngineSEO is a tool to assist with content creation. It does not replace professional editorial review, legal compliance checks, or subject matter expertise.

EngineSEO integrates with several third-party APIs. The following terms apply to API usage:

• Users provide their own API keys for third-party services (OpenAI, SerpAPI, Google Ads). You are responsible for obtaining and maintaining valid API subscriptions
• API keys are encrypted using AES-256-GCM and stored securely. We do not share your keys with other users or use them for any purpose other than providing the Service to you
• You are responsible for any costs incurred through third-party API usage, including usage fees, overage charges, and subscription costs
• We are not liable for third-party API outages, rate limits, policy changes, or billing disputes between you and the third-party provider
• API usage is subject to the respective third-party's terms of service, acceptable use policies, and rate limits

Your data is handled according to our Privacy Policy, which includes:

• Encrypted storage of sensitive information using AES-256-GCM encryption
• Multi-tenant data isolation with PostgreSQL Row-Level Security
• Secure API credential storage and management
• Compliance with applicable data protection regulations
• Your right to access, correct, or delete your personal data
• Data export capabilities for migration or backup purposes

By using our service, you consent to the collection and processing of your data as described in our Privacy Policy.

We strive to maintain high service availability but cannot guarantee:

• Uninterrupted service availability (target: 99.5% uptime)
• Specific response times for content generation
• Compatibility with all third-party service versions
• Data recovery in case of system failures
• Immediate resolution of technical issues

We reserve the right to perform maintenance, updates, and modifications that may temporarily affect service availability. We will endeavor to provide advance notice of scheduled maintenance when possible.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENGINESEO SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, or business opportunities
• Data loss or corruption
• Third-party service failures or limitations
• Content accuracy or suitability for your specific use case
• Damages exceeding the amount paid for the service in the 12 months preceding the claim

Our service is provided "as-is" and "as-available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

You agree to indemnify and hold harmless EngineSEO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the service in violation of these Terms
• Your content or its publication on your stores
• Your violation of third-party rights or platform policies
• Your failure to comply with applicable laws and regulations
• Any unauthorized use of your account

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA).

If you believe content on our platform infringes your copyright, submit a DMCA takedown notice to: legal@engineseo.io

Your notice must include the following information:

• A description of the copyrighted work that you claim has been infringed
• Identification of the material that is claimed to be infringing and its location on our platform
• Your contact information (name, address, telephone number, and email address)
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

We will respond to valid DMCA notices within 10 business days. A counter-notification process is available for users who believe content was removed in error.

Either party may terminate this agreement at any time:

• You may cancel your subscription through your account settings
• We may suspend or terminate accounts for Terms violations
• We may discontinue the service with 30 days' notice
• Termination does not relieve you of payment obligations for the current billing period
• Data export is available for 30 days after termination

Upon termination, your right to use the service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) shall continue in effect.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

You agree that any arbitration will be conducted on an individual basis and waive your right to participate in class action lawsuits or class-wide arbitration.

• Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and EngineSEO regarding the use of the Service and supersede all prior agreements and understandings
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of assets
• Waiver: Failure by either party to enforce any provision of these Terms does not constitute a waiver of future enforcement of that or any other provision
• Notices: We may send notices to you via email to the address associated with your account. You may send notices to us at legal@engineseo.io. Notices are deemed received upon delivery
